Birney,

Yesterday I received a fax of a very honest, clearly worded letter from a New York attorney who is a shareholder of CCEE (not Gary Green) addressed c/o G. Aronson at CCC questioning their methods and communications to the shareholders alleging misleading statements regarding the .57 earning per share not being real earnings but rather the sale of an asset i.e., Softworks. The letter is quite polite but very pointed. It was not a solicitation for any class action suit. Interesting.

The letter further addresses the question the present board is not acting like leaders of any public company with the best interest of shareholders in mind. Rather, they are managing from within to protect their own positions. There are cc's to the SEC and NASD regulators.

In all the time I've owned CCEE I don't recall one solid/meaningful statement or press release from Dan DelGiorno Jr. or Sr. acknowledging or addressing ANY concerns of the shareholders. It's very disheartening as these people are capable of so much more.

George
