P.T., since the company won't turn over the requested documents, we don't know for sure how the deal is being handled. Perhaps you can help me with the following:

Question: how is the now foregone "distribution" of ESVS preferred to Zulu to be a tax free transaction?

Question: how will Zulu's hypothetical, future distribution of the converted ESVS common to Zulu shareholders be a tax free transaction?

Question: will the "distribution" of ESVS common to Zulu's commons stockholders be a taxable dividend? If not, why not?

Question: is this to be treated as the distribution of all remaining assets as part of a liquidation and winding up process? If so, how can this be done so quickly?

Question: how does our basis in Zulu common transfer to the ESVS convertible preferred, which is being issued to ZULU, not us (its shareholders)?

Are not these critically important issues? Can P.H. or you help us understand them.
