Unfortunately the Nevada State Site is down at the moment or I would have provided you with a link to the advantages to being a Nevada Corporation. There are many, at least if you are the controlling owners of the stock. When it is back up I suggest that you look at the Secretary of State's page there as they tout the many advantages. As I recall shareholder approval is not required for most things. The Board of Directors has a great deal of latitude. Including no liability for their actions I believe. One thing I think I recall is that the company can buy and sell shares with no problem.
