I still don't understand. I guess my question to management, or whoever structured the deal is....are the #s within the P&L and Balance Sheet a moving target? In other words, is the deal consummated on the date of execution or have they already set a date historically for the purchase price allocation?

In an Asset Deal, you have a purchase price. This price is allocated between Assets/Liabs/Equity. Both parties must agree on the allocation for tax purposes. My question is: Has this allocation been set already? The Assets and Liabs of Zulu should not be fluctuating that much that the price per share would go down to the current market price.

Any comments?

Ken
