I'm confused about this deal. Are they buying all the shares or not? From Albatronics press release:

<<Nam Tai will be obliged to make a general offer for all outstanding Albatronics shares following the deal>>

Nam Tai press release says:

<<The parties currently intend to maintain Albatronics' listing on the Hong Kong Stock Exchange, with at least 25% of Albatronics' shares remaining in the hands of the public following completion of the subscription>>

It appear there will be shares left in the public float, but then what does the "general offer" for all shares mean?

Also, they appear to differ as to the use of the proceeds, from Albatronics:

<<Albatronics will use the proceeds of about HK$70 million as payments to its trade creditors, the companies said in a joint statement.>>

From Nam Tai:

<<Albatronics will use Nam Tai's investment proceeds for working capital and new business preparations>>
