Hi Joe - Here are some references to the number of outstanding shares made by Novell.

The following is an excerpt from:

Novell Fourth Fiscal Quarter 1996 Results Financial Analyst Briefing with Novell Senior Management November 26, 1996.

Jim Tolonen, Executive Vice President, Chief Financial Officer

Earnings per share were calculated on 346 million average shares outstanding for the fourth quarter, reflecting the ending level after completing our 1996 stock repurchase program. During fiscal 1996, we spent approximately $450 million repurchasing 33 million shares in open market transactions.

The number of outstanding shares reported in Novell's 3rd Quarter FY96 10-Q filing is less than that indicated in their press release and conference briefing. How can this be?

Form 10-Q

[X] Quarterly Report Pursuant to Section 13 or 15(d)
of the Securities Exchange Act of 1934
For the Fiscal Quarter Ended July 27, 1996

As of August 24, 1996 there were 343,930,347 shares of the
registrant's common stock outstanding.
