And I find it simply amazing that you claim you are involved in raising "non-dilutive" financing for AZNT.

This is such a misnomer. There is no such thing as non-dilutive financing, especially if you are doing convertible preferred offerings. Eventually that preferred get converted and dilutes the shares. However, until that time C/P holders receive interest payments (hopefully), thus in essence qualifying it as debt.

And if the convertible debt/preferred is floorless, the holders have a vested interest in shorting the stock in order to bring the price to the point where they can convert into more shares.

But Bgtit... if you are raising money for AZNT, I have no problem with that. But you still fall under the same disclosure regulations of 17(b).

Dean, I suggest you consult a qualified securities lawyer.
