In this hypothetical law suit to stop QWST's $12 bid (as unfairly underbidding ICMT's real value), if the court finds for the plaintiff and QWST then decides not to raise the bid, then a $12 bid is (by legal decree) dead and QWST is enjoined from making that bid. So if there are no higher bidders (either QWST or others), ICMT remains an independent company.

A takeover at $12 would be dead by court order.

[That's the 'lose' of our win/win/lose scenario.]
