You are correct.

FTEL places emphasis in manufacturing Data/Voice gateways ...but they manufacture these for clients that want them and for its own subsidiary (FNET).

FTEL's subsidiary: FNET (not stock symbol FNET) is the company in charge of getting the contracts and setting up FTEL's gateways throughout the world for a worldwide IP telephony network.

The great thing about this set up is that FNET, gets rock bottom prices and first dibs on FTEL's manufactured Gateway boxes.

The great thing for FTEL investors is that we basically own two companies for the price of one. With two sources of revenue streams.

FTEL: The manufacturing arm for Gateways... one area of revenue.

FNET: The worldwide IP Telephony network arm.... the other area of revenue.

This allows FTEL to concentrate on the Gateway box development and improvements and FNET to tackle worldwide setup of IP telephony.

Frank describes the relationship this way:

>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>

The Vision:

We envision Franklin building a global communications company offering System telco and wide area network standards based products made of proprietary software and hardware manufactured and sold by FTEL, which are extremely hard to copy and, Telco Services provided by FNet which are unique to FNet subscribers worldwide.

1. Franklin Telecom designs and builds hardware and software for
Internet Telephony and sells it to FNet and others.

2. FNet sells telco services and is building a worldwide IP telephone network using products from FTC and others.

The motivation is the reward of capturing a bit of the trillion dollar telecom market which experts expect to consist of 12% Packet switched calls within the next 18 months. In the year 2000 that bit, for us, could be $1,000,000,000 (One Billion) in revenue.

>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>>

Good Luck to both companies.

I want my Billion in revenue in 24 months!

1999 should prove spectacular for both DGIV and FTEL.

And should you want more information about FTEL or FNET:

FTEL ftel.com

and

FNET fnet.net

(FNET, like DGIV, is currently upgrading the look of their web site- so click on "Corporate Information")

Also, to see the big picture for FTEL/FNET without reading 200 news releases, 40,000 SI FTEL posts, etc...

Read Frank Peter's statement to investors on Sept 18th (Friday night):
ftel.com

And click on: "Message from the Chairman"

Thank you!
