I've spent more time reviewing the Form 10 and realize that I misstated some facts. Presently there are more than 19 million POKR shares. Since the merger value for these share will be about $12 million, this computes to $0.62/share. AVIA's shareholder equity is about $7.9 million. I had short-changed this # by about $1 million because I subtracted a million in long term debt only to discover later that it had been paid prematurely.

The documents are very detailed and, I think, quite revealing. It gives me great comfort to know that AVIA has assets without debt and POKR is a profitable company that continues to grow. Projection for POKR in 1999 is a 25% increase in revenues and a 40$ increase in pretax income. Cash flow is improving this year and continued monthly profits are projected. All of these statements were made before the recent acquisitions, so they should be underestimates. This is definitely not a 0.20/share company. Since it is a Bulletin Board company, I would bet it has been shorted and this may explain for at least some of the price decline. Once management hires an IR firm and the merger becomes official, this stock should start climbing back to its fair market value.
