Proxies- to all shareholders Peterluke_99 Sep 22 1998 1:15PM EDT It is important that each shareholder retains the right to vote his or her shares. There is only one proper way to do this. Please, all shareholders that are not sure, call your broker immediately, or if you trade on-line, bring up your on-line agreement. Make sure that you have checked the box that states
"I want to receive proxy-related materials and annual financial statements or an annual report for the reporting issuers of securities I hold with you." In Canada, through your broker, that is found in Part II, question 3, on the Scotia-Mcleod agreement form. I presume that almost all such agreements are nearly the same, whether in Canada or the USA.
TOMBSTONE VOTES
There is problem in the USA, in that most votes not asked for by the shareholder can revert back to the company AUTOMATICALLY. That's right, folks! If you don't ask for your proxy and the right to vote, most brokerage houses will pool those shares and fill them in and they end up as company votes, following their recommendations. This is a serious issue, getting votes by default. We therefore recommend to each of you:
CALL YOUR BROKER, CHECK YOUR ON-LINE, AND MAKE ABSOLUTELY SURE!!
Do not allow the company the luxury of counting those "tombstone votes."
Tombestone votes are not an issue in Canada. Here, the vote is either alive or dead, by virtue of the shareholder excepting the right to vote. Canadians, make sure you have the right to vote.

We suggest you hold your proxy-form until you see our dissident proxy form, and our co-oridinated effort to present them as The Group. I may open a post-office box for this exclusive purpose in the near-future, should anyone wish to mail them directly to The Group for presentation at the AGM.
