I don't necessarily think CQ shareholders don't want to be bought by LMT, but are not convinced it will happen timely if at all. This is compounded by the momentum investors bailing after the price failed to raise on the merger announcement. On 9/3/98 the Washington Post had an article indicating a merger with LMT at around 48 a share. From 9/2/98 to the day before the merger was announced (9/18/98) the volume increased significantly averaging about 950K shares a day. Prior to merger speculation avg. volume was around 200K shares. Most of these buyers bought the rumor and are selling the news since there was no pop in price. I think we could see a low as 29-30 as the momentum traders continue to liquidate their positions and move on.

However, if you are willing to hold this for 6 to 9 months there is a excellent chance you will be selling your shares for $45.5. The competitors will whine and try and delay it, but I don't see any monopoly considerations or any real anti competitive situations arising from this merger that would nix the deal. Considering the Northrop fiasco, I have to believe LMT has done their homework and it will be approved. Just a matter of when not if.
