On September 17, 1998, nine days after Alcatel Alsthom (Symbol: ALA) acquired DSC Communications Inc. ("DSC"), Alcatel announced that its financial results would miss analysts' earnings projections by $260 million. Holders of DSC stock (Symbol: DIGI) who received American Depository Receipts (ADRs) of Alcatel in connection with the acquisition of DSC by Alcatel are alleged to have been defrauded by Alcatel's materially false and misleading registration statement filed in connection with the merger, which failed to disclose that Alcatel was suffering a severe decline in its business that would negatively impact its 1998 results. On news of the truth about Alcatel, its ADRs fell from from a close of 33-1/32 on September 16, 1998 to 19.25 on September 17, 1998, losing 38.5% of its value in a single day.
