Here is a link to better explain the death spiral convertible . Lcav 's version seems to be somewhat more complicated. Wealth will be transferred from the existing stockholder (suckers?) to the new holders of the death spiral (variable conversion price) convertible preferred. (It even pays a 6% coupon)
