6 Randy Malinoff [Based on the potential to do so. We still have not seen any results that convince me that management can get the job done. My 6 is based on "gut feel". Posting audited 1996 financials does not fall in the category of generating results. Randy has been on board now for four months and what have we seen and heard (by way of results)?]

0 Arif Adam (Has overseen a management nightmare. As COB he is fully responsible. The action to award himself stock so his position would not be diluted and retain control of the company is unbelievable. Does not appear to care one hoot about stockholder value. Best thing for him to do is: 1. Retire 20 to 30 million shares. 2. Step aside (stay on the board is fine). 3. Hire a seasoned COB/CEO (compensation should be in the form of salary and an equity position in the company. The level of equity is tied directly to performance and is earned over a period of time. 4. Do the same thing for Randy M. (right now there is no incentive in place for him to turn this thing around other than his desire to do a good job))
