1998--Tridon Enterprises Inc. (OTC
Electronic Bulletin Board:TEIM) Friday announced that it has
executed a deal memo to acquire
National Paintball Supply Co. Inc., the world's largest
distributor of Paintball guns, paint, gear
and related accessories.

Tridon and NPSC are proceeding to a definitive agreement and
plan of merger.

Founded in 1989 as a hobby business, NPSC has become one
of the major forces in the fast
growing business of Paintball gaming.

NPSC manufactures and distributes more than 1,500 items to
the industry from three locations in
the United States. The new 20,000- square-foot warehouse was
designed and built specifically
for the distribution of Paintball supply items. The facility is
computerized and state of the art.

Since its founding, NPSC has supplied the consumer his/her
every Paintball game need. The
extensive inventory includes the finest and most popular
Paintball guns, paintballs, accessories
and gear available. NPSC is usually the first to offer new
products to the industry and consumer
as they become available.

NPSC is the exclusive distributor of Proball, Proball Platinum
Series and ZAP Paintballs, three
of the finest and most popular brands of paint in the industry.

NPSC manufactures many Paintball products and markets them
under the brand names ''NP'' and
''Proball.'' Proball is one of the most recognizable brands in the
industry. NPSC is the largest
single source of Paintball supplies in the world.

NPSC's first-quarter 1998 sales were $4,461,058, gross profit
was $765,024 and net (after tax)
income was $208,940.

NPSC projected sales for 1998 are $20.9 million, gross profit
is $4.18 million and net (after
tax) income is $1,049,428; 1999 projected sales are $28.5
million, gross profit is $5.7 million
and net (after tax) income is $1,607,375; for 2000, projected
sales are $35.5 million, gross
profit is $7.1 million, and net (after tax) income is $2,104,599.

These figures are based on certain forward-looking
assumptions.

Analysts predict that the Paintball-gaming industry will grow an
estimated 25 percent annually
for the next few years. Management believes that by merging
with Tridon and becoming a public
company, NPSC will be able to move quickly to make the
strategic acquisitions necessary to
make it the dominant force in the industry.

Paintball is an organized sport. It has thousands of amateur and
professional players and teams
that participate in planned, professionally staged and organized
tournaments throughout the year.

Paintball is a game of skill that is played by men, women and

On May 21, 1998, the board of directors of Tridon approved
the spin off of 100 percent of
Vertex Corp., a wholly owned subsidiary, to the shareholders
effective June 15, 1998. All
shareholders of Tridon Enterprises as of the record date will
receive one share of the new
Vertex Corp., a Nevada corporation, for each 10 shares of
Tridon Enterprises owned as a
tax-free dividend.

Vertex will market and distribute Hollywood Hair for Women
and Vertexhair for Men, the innovative hair-replacement and
hair- enhancement products developed by Tridon Enterprises
over the past seven years.

The company has completed its infomercial. It will begin test
marketing Hollywood Hair for
Women and the Vertex 1-2-3 Asian Formula Holistic Hair
Care/Vitamin products in selected
ADI markets this summer.

A pilot program to shelf market Vertex 1-2-3 Asian Formula
products will be negotiated with
national drug-store and supermarket chains in advance of a
national roll out.

Vertexhair for Men will complete its 18-month test program in
August 1998. The program has
been successful. Vertexhair for Men, the noninvasive,
medical-grade hair-replacement system,
will be introduced in selected markets on both the East and
West Coasts by physicians later this
year.
