NOTICE FROM IDB: The following information is being provided in an effort to clear up any misunderstandings regarding IDB's relationship with FNTN.

IDB signed a Letter of Intent to be acquired by FNTN April 1998. Closing date was to be no later than than June 30, 1998. FNTN was unable to close and the agreement expired June 30th. Although FNTN continued to discuss terms for another LOI, no other agreement ever existed between the two companies. On Sept. 28, 1998, the management of FNTN was notified that IDB was no longer interested, at that time, in being acquired by FNTN. At this time, FNTN expressed an interest in becoming a reseller/distributor for IDB. As of today, no executed reseller/distributor agreement exists.

Also, because of apparent misgivings by some about the nature of IDB's business/service, I offer the following information.

IDB is not a pager company. Since our primary and most flexible (for the subscriber's freedom) alert method is a pager, we assist our customers in obtaining a pager. IDB is in the business of providing financial information to non-professionals as well as professionals. IDB's WatchDog service allows investors to establish a portfolio of securities and choose from several alert parameters for each symbol. IDB is connected to a "Real-Time" data feed which dynamically monitors each portfolio (symbol) and then immediately alerts the investor when their parameters are triggered. "Real-Time" market information is then sent directly to a pager, e-mail, and/or telephone.

IDB is currently expanding its service to include other types of data as well as providing a new and innovative service using two way devices (pagers, PDA's, Internet capable cell phones, etc.) and IDB's proprietary system using intelligent agent technology.

IDB will be glad to answer any other questions as long as they do not breech terms of confidentiality between the two companies.
