<<It's not nearly 23% either(10% would be 1.2588 million shares>> If there are 5m shares outstanding and I own 1m then I own 20% (1/5) If 1.5 million new shares are issued my 1m is only 15.4% (1/6.5) My position is now only 77% (15.4/20) of what it previously was so I have a 23% dilution.
