Oh I see where you were coming up with that number. I'm sure you know this but others may not: Actual earnings are based on total number of shares issued, not those available to trade. If that 1.5 million shares actually is issued next February then it will not be 23% dilutive to earnings, more like 13%, and still not part of the float for one year. That's not so bad is it?
