Why not just merge Matridigm into Zitel?

And what relationship does Zenith Acquisition Corp. (which I assume is somehow related to the takeover of Zenith Electronics by, who was it, SG of Korea) with either Zitel or Matridigm? Or is Zenith Acquisition Corp. a newly-created shell formed to facilitate this merger?

Steve, I found your description of a triangular merger to be interesting, thanks. I just don't understand what purpose a complicated transaction such as this serves.
