If there is any doubt about how enthusiastic CKSG shareholders are about receiving US Web shares, just take a look at the pattern.

CKSG continues to price US Web at a discount, even while USWB is declining. Last CKSG trade at 11 7/8, prices USWB at under $8.00 per share.

Granted, the market is difficult (understatement), but there is always a trigger that brings overvalued stocks down. If it wasn't the general market, it would have been something else.
