George, FWIW, don't feel bad. There has been many companies whose management has failed to realize what kind of affect this type of financing would on their company. The founder of Hayes modem had an interesting article written about him. He entered into this type of financing and destroyed his company's equity. I'll see if I can find the link. (I have it as a hard copy now.)
