I've read several messages that imply that the the info in the S-8
registration statement has implications for the future of Cyrix.
Although I haven' looked at the S-8, let me provide some speculation
about the content and the erroneous conclusions that I think are
being drawn.

Form S-8 is a form used to register stock/stock derivitives to be used
as compensation. The price shown on the front is used strictly for
calculating the fee to be paid, and relates more to the market price
at the time the S-8 was filed than anything else. Employee options
are almost always issued with an exercise price equal or close to
the market price when they are granted. The fact that they filed an
S-8 means only that they needed more shares available for their option
plan (common with companies where the stock price has fallen, since
the old options will be underwater and have less incentive/retentive
value). The timing of the S-8 usually has little or nothing to do
market events, earnings or anything like that, and I don't think you
can reasonably draw any conclusions from it.
