Hello Mr. Kaplan:

Frankly, I think your 'question' and apparent satisfaction with the conference call 'response' was a banal exchange. The persistent avoidance of substance is characteristic of poor management practices; the performances of Matridigm and Zitel are dismal and often reflect many poor management practices, including making flowery statements and informing investors of nothing--that is misleading. The quote from the cc you cite is an example of this. Normally, candor is called for to have decent investor relations. That is lacking with Zitel in my two years experience observing the company spokesmen.

Investors' equity is being squandered. To justify the present market capitalization of the newly diluted shares would require an unheard of level of business growth successfully, with very substantial performance immediately and for at least the next year forward.

The cc confirmed to me that I should expect continued losses from the combination, and to remain short...through 1999 if need be.

Regards,
m
