My protest vote was to vote against the few proposals coming up. Including doubling the authorized shares from 40M to 80M, and increasing the stock options. What I resent is turning to the
letter to shareholders in the annual report and having Noam tell me "we are pleased to report another record year at MRV". It is October 14, the annual meeting is scheduled for Oct. 30, and nowhere, not in
the annual report (where I wouldn't expect it), nor in the Notice of
Annual Meeting to Shareholders,nor in another letter that could have
been included, did I see any acknowledgement that MRV tanked and from
the 4th Q 1997 High of $37.75, through the 4th Q low of $21.13, this
stock has lost close to 75% of its market value, from the low of that last quarter. It seems to me that this is another example of total disregard for the shareholders. I could have used some acknowledgement, some encouragement, some evidence that management is
aware of shareholder concerns. Something more tangible than what we
have heard in the past.
