Metrocall( Metrocall Inc )stake held by UBS Capital LLC
WASHINGTON, Dec 31 (Reuter) - UBS Capital LLC said it holds a 6.04 percent stake in
Metrocall Inc or 1,544,019 common shares.
In a filing with the Securities and Exchange Commission, UBS said of the total common shares, it
bought an aggregate 455,365 common shares between December 12 and December 23 at prices
ranging from $4.50 to $4.88 per share.
UBS also purchased warrants to buy 1,088,654 common, as part of units containing one share of
Series A convertible Preferred Stock and one warrant to purchase 18.266 common shares at an
exercise price per share of $7.40.
The warrants are exercisable at any time through and including November 15, 2001. The preferred
shares are convertible into common shares starting on November 15, 2001.
UBS said it bought the common shares and warrants for investment purposes. It also has the right to
appoint one of the eleven members of Metrocall's Board of Directors.
UBS Securities LLC owns a 99 percent stake in UBS Capital LLC. Union Bank of Switzerland
SBGZ.S owns a 95 percent stake in UBS Securities.
Metrocall of Alexandria, Va., provides paging and wireless messaging services to over 1.3 million
subscribers in all 50 states.
