Zev's resignation, I think, has to be viewed
in this context:

Originally, the company had positioned themselves
using proprietary hardware as their main differentiating
feature and Zev, as a respected hardware engineer
from SPAR, executed fairly sophisticated hardware
projects. In the last year, the company model has moved
more toward proprietary software solutions (higher margins, greater
flexibility)where off-the-shelf hardware can easily
be integrated.

In this new environment, a hardware engineering core
competency is less critical than skills enabling the
company to close additional alliances and distribution
agreements and work with complementary technology. Zev
discussed with BCB this change in the model and the opportunity
to exit, creating a space for Tom Doherty from Lernout
& Hauspie to fill. Tom Doherty illustrates the new emphasis
on partnerhips and alliances and his appointment was well received
within the industry.

As the press release at the time stated, Zev's departure was
friendly and he continues to lend support as a shareholder.
