OK here it goes.

Since June 1st, everyone has been calling the joining of purewater scientific and Panamerican Bancorp a Reverse Merger. Now if we want to be correct (and we do) it is really a merger.

A reverse merger (where I went to school) is when a small company and a large company are merging and it is the small company that is to survive (keep it's name)

In this case Purewater is a defunct company. A shell. Panamerican is the bigger company as it presumes to be a going concern. Panamerican Bancorp will be the surviving entity.

Once the merger is complete, the name will change from Purewater to Panamerican , and the symbol and cusip will change.

Once that takes place a real reverse merger will happen where Panamerican Bancorp and Realty Money Center will merge, and Panamerican will survive the merging.

A reverse split is a whole different animal and though people are shouting reverse split on the nay side, the company has said "none at this time".

The fun game is you get to choose who you believe.
