All litigation between Xinex Networks and Xycron Technologies, Alliance
Technologies, Douglas Alan Kind, DEK Designs and others, has been settled.
Xycron Technologies, Alliance Technologies and DEK Designs are companies
controlled by Mr. Kind, a director and principal shareholder of Cardigan.
In connection with the settlement, Xinex Networks agreed to deliver certain
equipment to Mr. Kind. In addition, Mr. Kind, Xycron Technologies and others
will execute a non-disclosure and non-competition agreement. Management is of
the view that such agreement will not have a material effect upon the business of
Icron Systems or Cardigan.
