Netscape Secretly Offered Microsoft a Stake in Firm

WASHINGTON -- Netscape Communications Corp. co-founder James Clark, with his firm strapped for cash, his product stalled and millions of dollars of his own money on the line, offered to sell a piece of the company to Microsoft Corp. in a secret 1994 e-mail message.

"No one ... knows about this message," he explained,
writing at 3:01 a.m. on Dec. 29 to a Microsoft vice president, Brad Silverberg. "We'd like to work with you ... you might take an equity position in Netscape with the ability to expand that position later," he wrote in the e-mail message disclosed Wednesday in the third day of Microsoft's antitrust trial.
