I also read this in the S-3, but on first reading I read this as needing to convert before selling the Common Stock short. I see your point. What an incredibly bad deal. If you are right it readily explains the source of the shorted shares and how the Selling Shareholder can get shares to short when there aren't any available on the market in margin accounts.
