I follow you on the valuation of the shares (35M). Are these shares restricted? I am not aware of the details on the options/warrants? Your valuation assumes these are options valued at $6.50. If so, NUOA would have to pay $6.50 to exercise, and only gain for any amount above. So theoretically they carry no value. And if exercised, this would dillute FXWA, If these are warrants or some other derivative priced differently, can you please point to where I can research the terms.

The note is interesting and the terms of payment would be valuable to understand. Its an intercompany payable/receivable which helps the balance sheet of NUOA and hurts FXWA. I would expect FXWA shares to drop accordingly, lowering the value to NUOA.

The fundamental question is if your valuation shows $4 per share, and the stock is trading at $,04, what does the smart money know that we don't?
