NP ENERGY CORPORATION EXPANDS TELECOMMUNICATIONS COMPANY

NP Energy Corporation, through its wholly owned subsidiary MetroPlus
Communications Ltd., is pleased to announce the acquisition of Local
Connections Ltd.. Local Connections is a flat rate telephone service
provider in the Lower Mainland area of British Columbia, Canada. This
acquisition adds 780 customers to Metroplus and approximately $7,072.00
per month in revenues.

With the addition of this acquisition and new customer registrations to
the extended calling area announced in August of 1996, the company is
approaching the 4000 customer mark. This makes MetroPlus the largest
flat rate service provider in the Lower Mainland of British Columbia.

The purchace agreement with Local Connections Ltd. was finalized on
December 23, 1996 and became effective January 1, 1997, at a cost of
$57,500.00 (CDN). MetroPlus is negotiating the acquisition of another
flat rate service provider that has a customer base of 1500.

MetroPlus is presently the only flat rate provider able to service
multiple calling zones as regulated by the Federal Government under the
CRTC and administered by the British Columbia Telephone Company.
