<"why would insiders sell off if they were to be acquired shortly at a higher than present price?"> Insiders are typically restricted from any selling for an extended period of time after a merger. I'm sorry, I don't remember the specifics, or whether it can vary. For insiders who already have restricted selling windows, but whose income is largely dependent upon stock options, this can present some discomfort.
