why would insiders sell off if they were to be acquired shortly at a higher than present price?

Because after a merger, insiders are prohibited from selling anything until consolidated financials come out, which could be months. So, prudent planning beforehand would call for some selling to account for upcoming tax obligations, etc.

After the ASND/CSCC merger, you will see that there was quite a bit of time before insiders commenced selling. When they did, there was a lot of pent up selling pressure, even though the stock was at a relative low point.
