Ah-hah... A new answer for the SP4 dilemma from the Metastock mailing list:

The problem is being caused by the Service Pack changing some of our registry entries. There is a one time fix you may run to alleviate this problem.

Start The DownLoader by holding Cntrl-Shift when you launch the program. Answer Yes when asked about deleting the registry entries.
Go to Tools|Vendor Options and reenter the vendor information, i.e. your password.

The problem should not appear again.
