Simply put , when the company sells more stock the value of
the current shareholders is diluted. You should be able to
find an S-3 filing that will give you an idea of when the
offshore investor can begin selling. When the selling is completed
the stock price may rise some but these companies "usually"
just do another Reg S and keep draining the shareholders
as long as they can.

If you can't find that filing you can just call the company and ask
them if all Reg S shares have been converted.

works basically the same as this Reg S :
