United States Filter Corporation Completes The
Acquisition Of United Utilities' Process Equipment
Division

PALM DESERT, Calif., Jan. 6 /PRNewswire/ -- United States Filter Corp announced today that
it has completed the acquisition of United Utilities' Process Equipment Division (the "Division").

For the fiscal year ended March 31, 1996, the Division had revenues of approximately $270
million with approximately 64% generated in North America, 25% in Europe, the Middle East and
Africa, and 11% Pacific Rim. The company said that the purchase price was approximately $200
million in cash and stock.

The Division provides a wide range of water and wastewater branded products, technology and
systems consisting of Wallace & Tiernan (chemical feed and disinfection equipment); Envirex
(wastewater treatment processes and equipment); General Filter (Water and Wastewater filtration
processing and equipment); Edwards & Jones (solids/liquids separating technology); Asdor
(sludge dewatering and handling); Consolidated Electric (pumping controls and automation); and
Acumem (membrane technology).

"U.S. Filter has now completed all of the transactions announced during the Fall of 1996 (Utility
Supply Group, WaterPro Inc., Wheelabrator Water Technologies Inc., and the Process
Equipment Division of United Utilities)," said Richard J. Heckmann, Chairman and CEO of U.S.
Filter. "The integration of these companies with our core businesses has been the primary focus of
our management team through last Fall and we believe that the ability to deliver our products in a
one-stop shop capability is now underway. We have acquired significant expertise and a very
large installed base of customers over the last several months. All of these companies have a long
history of providing equipment and services to the water treatment industry and will be an excellent
strategic fit with all that we do," he said.
