Hi Michael. The VSE informed Rock that they needed to state reasons as to why the previously announced financing was cancelled. This is just a "clean-up message"! The previous cancellation notice just stated they were cancelled. VSE requires a reason!! Seems somewhat ludicrous in light of their reputation, however maybe this is the NEW VSE trying to keep everything Nervana!!

Mr. Hirtz had to step down because of a fulltime commitment to a company that he is president of (I think its SLPW on the NASDAQ) In his place Mr. Kennedy has suggested John Kowalchuk(sp) a past senior geologist with placer dome......I can accept that!!

As Alexander Daigle of the "Ottawa Senators (past)" once said "pas panique"!!! Mind you he was still a "crap" player for Ottawa!!! Since this time we have raised more money...have enough for an IP and BC Gov should carry us for the rest of it!!! MOO

Mr. Thomas Kennedy reports
Rock Resources has negotiated a private placement financing for gross proceeds of $100,000, comprised of a $100,000 debenture, convertible into units at 35 cents per unit if converted in the first year and 40 cents per unit if converted in the second year.
Each unit is comprised of one share and one two year warrant to purchase one common share at 40 cents in the first year and 45 cents during the second year. The proceeds will be used for continuing exploration on the company's Chilean mineral property and for general working capital. A finder's fee is applicable.
The company will not be proceeding with the private placement announced in Stockwatch May 12, 1998.
