Hi Jerry,

You are not paranoid at all. All along I have had confidence in NUOA with the belief that we would have to wait several years for the big payday.

My only concern was the potential for a reverse split and Fred then converting his preferred shares. Shareholders would get screwed if this scenario took place.

I have been one of the most loyal shareholders of Fred and the company. If he were to do this, I would be the first to suggest that the SEC look into the matter even though he may have a legal right to do so. He would have forsaken his responsibility to shareholders.

Before I jump to that conclusion, I will give Fred the benefit of the doubt and as I mentioned in my last post ask Fred to go on record that he would not convert his preferred shares for at least two or three years.

I would again suggest that if the European lender insisted a reverse split take place, that Jonathan and Fred should look elsewhere.

Ken
