Ken: There were obviously some accountant types involved in this deal.
What I hear is that Laidlaw really loaned Rollins the money to buy the
Laidlaw property. In this way, Laidlaw shareholders get their money, Rollins
shareholder get a little bump in shares and Laidlaw ends up with 66%
of the "new Rollins". The bottom line is it is Laidlaw pulling the
strings and the Rollins systems etc will be rolled into the Laidlaw
way. The plants won't be affected to much (they've been already hit
hard from past cost reductions). The HQ of Rollins will be gone and
IS will follow shortly thereafter. There will be no Rollins Environmental
in Wilmington after this is all over.

From an employee point of view, after two years of cost cutting, this is
a final slap.

From a shareholder point of view, it is probably the smartest move they
have made. The combination of the two firms should prove to be quite
powerful and profitable after the write-offs are done.

You price of$3.50 seems attainable but it may take a little time to reach.
