Let's assume Vander Kelen is an honest guy and is genuinely in a position to help AZNT distribute ToN to Sweet Factory stores. He agrees to do so for 100K restricted shares. After waiting the required 40 days he files to sell them. At that point he learns AZNT has frozen all restricted shares and, regardless, the company is delinquent in their filings and thus he wouldn't have been able to cash them in anyhow.

Dilemma: does he work for, essentially, free?

I doubt it. I say he waits until he knows he will get paid. Which means he'll be waiting until at least the financials are filed. But, no distribution means no sales which means no incentive for issuing financials. Catch-22. Bummer. So much for revenues for the foreseeable future.
