Chuck,
With the merger Nucleus will control 78% of stock. Nucleus wanted to go public hence the merger. It is a lot cheaper to merge with a public company than to go for a IPO. AMGV has been showing profitable quarters lately. In their last filing they talked about eliminating almost all debt. Finanacially they are sound. Now they merge with another profitable company who has the ability to increase market capitalization with this merger. AMGV has talked about getting the ability to get capital to expand their market share in previous filings. With Nucleus this will be accomplished IMO. In the latest release the speak about obtaining capital for the company. This leads me to believe Nucleus has the ability to get funds where AMGV was unable to do so.
As yet I don't know what the split will be. I think it will be a smaller than 1-6.
