Silicon Beach Software fame. Aldus 1989-90? I have considerable respect for you Charlie. And it was a good move to go with Macromedia. FutureWave and companies like THW need to partner up.

Difference is, THW is quite a bit further along in the business plan and they are taking market share from the majors like Macromedia and Adobe and Corel. They build great products and it has all been done on $3.4 million CDN since January 1995.

One question?

600,000 shares at what time frame Charlie?

$32 a share for Macromedia? $27 a share? $18 a share? $12 a share?

$8.30 a share? If my memory serves me right. It was at about $18 a share when the deal was announced. Perhaps you had a clause in there to get the deal amount readjusted with Macromedia's fall from grace two years ago.

I hope you did the deal at less than $14 a share. I guess I can check the documents for that number.

Anyways. We recommended the same for THW back in August when we met with them. Great technology. Solid business plan. But they need to partner up with a major player.

Since Friday I have heard this:

Now THW has some of their own big courters sniffing at the door. They took the advice from a number of people and have done the same as FutureWave Software.

Considering that THW had talks with Macromedia in 1996 and early 1997, I'd say that they are now in the midst of meeting with Macromedia's main competitors. Timing is everything and the QT3 / Microsoft / Apple squabble in public is no coincidence here. It's perfect for THW. High visibility of QT3 and related products. Timing is everything in software when you have a key technology and product that the masses want and need.

THW knew exactly when to approach about 6 major industry players and they did it as their WebPainter 3 has been receiving industry awards and great reviews and just before launching their new Windows products. My guess is LiveStage and these new products has created demand for a closer look for some of the majors competitors to Macromedia:

Adobe? Corel? MetaCreations, Quark? Others? And of course Microsoft, especially since all the visibility that the DOJ case has put on to spotlight QuickTime 3. Microsoft could be seen as a QT3 savior and promoter to save some face by swallowing up THW through an investment or acquisition to demonstrate their good intentions with QT3. Since Totally Hip has a year long contact (one part of THW) with Microsoft to create most of Microsoft's professional quality animated content for many of Microsoft's products. I'd say it isn't too much of a stretch that this is possible. They paid $250 million for Links exchange last week. What's $25 million or so for THW.

Most of the animated content (quality stuff) on Microsoft's Web site is created under contract by Totally Hip for Microsoft. It goes into Word, Publisher, FrontPage and many other MS products and is now being given away on Microsoft's web site. THW has built an excellent relationship with Microsoft and most certainly with Apple.

I heard THW is in discussion with Microsoft about LiveStage and QuickTime enabled interactive rich media content. And we also contacted some VCs to assist THW.

THW is in play and only time will tell just how quickly this LiveStage product will become a serious competitor to Flash 3. And it's only a matter of time before an acquisition deal will be announced. None of these other players have a competitive product to Flash 3.

But I already know one thing for sure. I got a seed of LiveStage 1.0 (d17) sent to me yesterday and it is far better than Flash 3 for ease of use and power to create interactive rich media content. And it isn't even finished yet. It is slick and since it uses QT 3 for playback, I'd say that THW is sitting in a real good position.

And that is a fact.
