Dear Larry: There are two negative items in the minds of the sellers. One is the lack of Federal Income Tax Provision. I think the estimate of 13 cents a share included a provision of 37% for taxes. Not positive of this and if its important to you verify it. If I am right then they did NOT meet Hannifens estimate. Secondly, sellers seem to have either misunderstood or misbelieved the fact that Y2K $$$ revenue down (although VOLUME UP). Jenkins or Kersall explained this to my satisfaction but I think the fear is that Y2K is tapering off, which I believe couldnt be further from the truth. In any event, I know welcome these people selling. The lower the better then I will increase my holdings at a nominal price. So just to throw a little more FEAR unto the waters, has anyone considered the effect on the price of the upcoming acquisition with the depressed share value?? JDN

PS: as to point number one, lets not tell anyone the postive cash flow which will result from having available the 9mm N.O.L. carryover to offsett any taxes and what could be done with that money. OK
