I think all your questions are answered by the article to which I posted a link. Acquisitions of construction companies will always create a lot of goodwill (i.e., the excess of purchase price over book value), as these companies have little or nothing in the way of hard assets. If their goal is to inflate the stock, they're doing a very poor (and very quiet) job of it.
