Rick, concerning the CB issue....

Thanks for bringing to our attention an excellent issue on the CB conversion.
After seeing your note, I got my calculator out and did some punching.

Bottom line is, if all CB are converted to new shares right now, net effect on
EPS will be one cent/sh or less. I feel much better now.

$46 mil. CB at approx. 19/sh = 2,422,000 new shares.
Current shares = 64,419,000
Total new shares = 66,840,000 (+3.7%)

1Q96 earnings at $10.0 mils
@ 64,419,000 shares, EPS = 0.15
@ 66,840,000 shares, EPS = 0.16

Say if 2Q96 estimate earnings is 15 mils (using a very low estimate):
@ 64,419,000 shares, EPS = 0.233
@ 66,840,000 shares, EPS = 0.224

As proof, if all the CB were converted last quarter, EPS would be 0.15 vs. 0.16.
A tad lower but still 36% higher than 0.11 estimate.
