The company will be convening an annual general meeting of members on Dec.
11, 1998, for the purpose of seeking the consent of members to a
consolidation of its share capital and a change of its name to National
Ventures Ltd.
The proposal to be presented to the members for approval calls for every 10
shares of the company before consolidation to be consolidated into 1 share.
The company currently has 11,640,170 shares outstanding and, accordingly,
1,164,017 shares will be outstanding after the consolidation. Incidental to
the consolidation, the company will be increasing its postconsolidation
authorized capital from 2,887,087.1 to 100,000,000.
The share consolidation is being proposed in order to allow the company
greater flexibility in future financings.
The share consolidation and change of name are subject to members'
approval, and documentation in support being accepted for filing by the
Vancouver Stock Exchange and the Registrar of Companies for the Province of
British Columbia. |
