That status is, as we understand it, an important element of your plan. Of course we would move swiftly in our review of the information you will provide us so that we could move from the current stage toward letter of intent and agreement. We believe that you and we share the hope that Brush Creek and U.S. Cement together could form a profitable corporation to the benefit of our shareholders. Even before we have reviewed the information requested in this letter, we are prepared to meet with you and with those whith whom you are working to complete this transaction to assist in any way possible your achieving success in finalizing this plan. In particular, we are interested in meeting with any representatives of companies involved in your business plan to respond to questions about Brush Creek and to express to them as we now express to you our desire to move through our due diligence review to bring us to the point of discussions leading quickly to a final agreement. We recognize that your letter of November 11 contemplated a more definitive answer to your proposal than the one this letter contains. We assure you that upon their receipt, we will review the materials we are requesting in days, not weeks, to the end that we can move forward together toward the goals set out in your proposal. We appreciate the opportunity that your letter of November 11 describes and hope that we will be able to move forward swiftly toward the accomplishment of a mutually agreed arrangement between U.s. Cement and Brush Creek Mining and Development along the general lines described in your November 11 proposal.

In a subsequent follow up letter today Jim Chapin requested that I
communicate the Board's response:

"Finally, I suggest you consider posting on the internet the board's response to your proposal to the Company. At the present time, I'm told that shareholders are quite stirred up by your many posts. I am not an internet poster, and would have preferred that our negotiations take place privately. However, having done what you've already done it seems only fair to me that you make shareholders aware that the board is eager to work with you pending due diligence. In the meantime, I will continue to work with you and look forward to a response to the board's recent letter to you.
