A. What are the reporting requirements for NPEC in regards to yearly financials,
quarterly financials, Stock issues etc.. Is NPEC up-to-date in their filings?

LES: Yearly production of a 15C211, 90 days after year end. Last produced
June 1996 and updated.

<<Acquisitions>>

A. It is obviously, in your company's opinion, the right time to acquire property
in developing countries; Can we expect more acquisitions in 1997 and further
issuing of stock to cover any such acquisitions?

LES: We have no specific plans for additional acquisitions. However, that can
change if we discover a worthwhile opportunity.

B. What is there about NPEC (such a small company to have so much after the last
year) that convinces other countries/companies to give NPEC 20% of so many
projects?

LES: Excellent corporate and personal contacts.

<Financial>>

A. In what year(or quarter) do you expect to break even?

LES: To be discussed

B. In the last year you have had an acquisition rate that has been exceptional. What
growth rate do you expect to have over the next 5 years by year? If you will not
comment on this: Then at least is there an overall plan to all of this and can you give
any insight as to the process and goal? What is NPEC's corporate strategy?

LES: To be discussed

A. What is Dave D's official relationship with NPEC and how is he compensated for
it? Is he an IR or not?- if compensation is in shares of NPEC, I would like to
know quantity and T&Cs of the shares so issued. This should give us a glimpse into
Dave's position and interest.

LES: Dave is one of our Public Relations Officers, and is compensated pursuant to
various service contracts.

C. Does NP intend to hire a PR firm in the near future?

LES: YES

A. Are there any plans for a reverse split ?

LES: NO

<<Telecom company>>

A. What is the address of Local connections Ltd.?
B. Was there any debt assumed with the deal?
C. What is there local telephone number at Local connections Ltd.?
D. Are they a Re-Seller or switch based company? If so what kind of a
switch did we get in the deal ie. siemons, strong berg, Mitel ???
E. Was it cash and stock or all cash?
F. Of the 780 clients how many are large? by that I wish to know if
say 15% make up the top volume and the rest are little ones.
G. If Mr. Price cannot answer he should be able to give us a name of
someone at Local Connections Ltd that can?
H. How long has the company been known as Local Connections Ltd. Is that
name old or has it changed in the past two years?

LES: MetroPlus made the acquisition pursuant to its expansion program. Several
other acquiaitions are being pursued according to its business plan. MetroPlus's
manager can answer all your questions as I do not have the time, knowledge,
or desire to interfere in daily operations of MetroPlus.
